1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the products and services provided by GreenHarvest Produce Ltd (“GreenHarvest Produce Ltd”, “we”, “us”, or “our”), including wholesale vegetable supply, retail vegetable boxes, seasonal produce sourcing, pre-washed and prepared vegetables, restaurant and catering deliveries, farm-to-store distribution, and custom mixed vegetable orders (collectively, the “Services”).
By placing an order, creating an account, requesting a quotation, accepting a delivery, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
Where you are accepting these Terms on behalf of a business, company, partnership, or other legal entity, you represent and warrant that you have authority to bind that entity, and references to “you” shall include that entity.
2. Scope of Services
GreenHarvest Produce Ltd supplies fresh vegetables and related produce products and services, which may include:
- Wholesale vegetable supply for businesses, retailers, institutions, and food service customers;
- Retail vegetable boxes and subscription-style or one-off produce orders;
- Seasonal produce sourcing based on availability, harvest conditions, and supplier capacity;
- Pre-washed and prepared vegetables, subject to handling and food safety requirements;
- Restaurant and catering deliveries at agreed times and locations;
- Farm-to-store distribution services; and
- Custom mixed vegetable orders assembled according to customer specifications where reasonably practicable.
All produce is supplied subject to seasonal variation, availability, crop conditions, weather events, transport constraints, and quality control standards. We may substitute items of equal or similar quality and value where necessary, particularly for seasonal or custom orders, unless you have expressly agreed otherwise in writing.
Any samples, catalogues, product descriptions, images, specifications, or delivery estimates provided by us are for general guidance only and do not constitute a guarantee that produce will be identical in size, appearance, colour, weight, packaging, or exact variety.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and current information when placing orders, setting up an account, or communicating with us;
- Ensure that delivery instructions, contact details, access requirements, opening hours, and site-specific requirements are correct and kept up to date;
- Inspect deliveries promptly upon receipt and notify us of any issues without undue delay;
- Store, handle, and use all produce in accordance with food safety best practices, product labels, and any relevant instructions provided by us;
- Maintain appropriate refrigeration, hygiene, stock rotation, and handling procedures after delivery;
- Comply with all applicable laws, regulations, and industry standards relating to your purchase, storage, resale, preparation, or distribution of produce;
- Not use the Services for any unlawful, fraudulent, or abusive purpose; and
- Not resell, repackage, or misrepresent produce in a manner that could create consumer, regulatory, or safety issues.
If you are a business customer, you are responsible for ensuring that your employees, agents, contractors, and recipients of deliveries comply with these Terms and all applicable food safety obligations.
We may refuse, suspend, or cancel orders where we reasonably believe that you have breached these Terms, provided false information, or created a health, safety, or security risk.
4. Payment Terms and Conditions
Prices are as quoted by GreenHarvest Produce Ltd and may vary depending on seasonality, market conditions, order volume, delivery location, packaging requirements, and service level. Unless otherwise stated, all prices are exclusive of taxes, delivery charges, and any other applicable fees.
- Payment is due in accordance with the invoice or checkout terms presented at the time of order.
- For business customers, credit terms may be offered at our discretion and may be withdrawn or amended at any time.
- If payment is made by card, bank transfer, direct debit, or another approved method, you authorise us to take payment for all amounts properly due.
- Late payments may result in suspended deliveries, withdrawal of credit facilities, recovery action, and interest or charges to the extent permitted by applicable law and agreed terms.
- You are responsible for any bank charges, currency conversion fees, or payment processing costs imposed by your payment provider.
We reserve the right to correct pricing errors, obvious miscalculations, or manifest mistakes, and to cancel or amend orders affected by such errors where permitted by law.
5. Cancellation and Refund Policy
Because our Services involve fresh and perishable goods, cancellations and refunds are handled with particular care.
- Orders may only be cancelled within the timeframe notified at the point of order or, if no specific timeframe is stated, within a reasonable period before processing, packing, sourcing, or dispatch begins.
- Once an order has been harvested, sourced, packed, prepared, or dispatched, cancellation may no longer be possible.
- Custom mixed vegetable orders, pre-washed and prepared vegetables, special sourcing requests, and time-sensitive deliveries may be non-cancellable or subject to cancellation charges.
- Refunds or replacements may be offered where products are materially defective, damaged on delivery, or not substantially as described, provided you notify us promptly and supply reasonable evidence.
- No refund will be provided for issues caused by improper storage, handling, delay in notification, failure to receive delivery, or misuse after delivery.
Any refund, replacement, credit note, or partial adjustment will be made at our reasonable discretion, taking into account the nature of the product, the extent of the issue, and the evidence provided. This clause does not affect any non-excludable rights you may have under applicable law.
6. Liability Limitations
To the fullest extent permitted by applicable law, GreenHarvest Produce Ltd shall not be liable for:
- Indirect, incidental, special, consequential, or punitive losses;
- Loss of profit, loss of business, loss of goodwill, loss of opportunity, or business interruption;
- Losses arising from delays caused by traffic, weather, supplier shortages, access restrictions, or force majeure events;
- Losses arising from your failure to inspect, store, handle, or use produce properly;
- Losses caused by inaccurate delivery information or failure to accept delivery;
- Minor variations in size, colour, texture, weight, packaging, or appearance typical of fresh produce; or
- Any issue arising from goods resold, repackaged, or redistributed by you after delivery.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.
Where liability cannot be excluded, our total aggregate liability arising out of or in connection with any order, delivery, or provision of Services shall be limited to the amount paid by you for the specific goods or services giving rise to the claim, except where otherwise required by law.
7. Intellectual Property Rights
All intellectual property rights in and to our brand, trade names, logos, website content, product descriptions, photographs, catalogues, packaging designs, documents, and other materials supplied by GreenHarvest Produce Ltd are owned by or licensed to us.
You are granted a limited, non-exclusive, non-transferable, revocable right to use our materials solely for the purpose of receiving, promoting, storing, or reselling the Services lawfully and in accordance with these Terms, where applicable.
You must not copy, reproduce, modify, distribute, publish, or create derivative works from our materials without our prior written consent, except to the extent permitted by applicable law.
8. Data Protection and Privacy
GreenHarvest Produce Ltd processes personal data in connection with order management, delivery coordination, invoicing, customer service, account administration, and related business operations.
- We will process personal data in accordance with applicable data protection laws.
- We may share data with delivery partners, payment processors, IT providers, professional advisers, and other service providers where necessary to provide the Services.
- You are responsible for ensuring that any personal data you provide to us is accurate and lawful to share.
- Where you provide recipient contact details for deliveries, you confirm that you have appropriate authority or a lawful basis to do so.

9. Force Majeure

- Crop failure, pest outbreaks, disease, contamination events, or supplier shortages;
- Transport disruption, road closures, traffic incidents, or fuel shortages;
- Industrial disputes, labour shortages, utility outages, or equipment failure;
- Government action, regulatory restrictions, pandemics, public health emergencies, or border delays; and
- Any other event reasonably beyond our control.
Where a force majeure event occurs, we may suspend, delay, substitute, or cancel affected orders without liability, provided we take reasonable steps to minimise disruption where practicable.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our Services, business practices, legal requirements, or operational needs.
Any updated version will take effect from the date stated in the revised Terms or, where appropriate, upon publication or notice to you. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.
If you do not agree to any revised Terms, you should cease using the Services and contact us to discuss any outstanding orders or account matters.
11. Applicable Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation shall be governed by and construed in accordance with the laws applicable in England and Wales, unless mandatory law requires otherwise.
Subject to any mandatory consumer protection rights or other non-excludable legal rights, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from or related to these Terms or the Services.

13. Severability Clause
If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable. If such modification is not possible, the relevant provision shall be severed and the remainder of these Terms shall continue in full force and effect.
Failure or delay by GreenHarvest Produce Ltd to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy.
